Please read these Terms of Service (“Terms”) carefully before using the Vera platform and related services operated by Cortex Research Ltd (“Cortex Research”, “we”, “our”, or “us”). By creating an account or using our Services, you agree to be bound by these Terms and our Privacy Policy.
By accessing or using the Services, you confirm that you are at least 13 years of age, that you have read and understood these Terms, and that you agree to be legally bound by them. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or a prominent in-product notice at least 14 days before they take effect. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.
Cortex Research provides access to the Vera AI platform, including conversational AI interfaces, AI agents, document generation, workflow automation tools, and related APIs (collectively, the “Services”). The Services are designed for professional and business use.
We continuously develop and improve the Services. We may add, modify, or discontinue features with reasonable notice. Where a feature is discontinued, we will endeavour to give at least 30 days' notice.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used fraudulently.
You agree to use the Services only for lawful purposes. You must not use the Services to:
We may suspend or terminate access to the Services immediately and without notice if we determine that you have violated this section.
You retain ownership of all content you submit to the Services (“User Content”), including prompts, documents, and data. By submitting User Content, you grant Cortex Research a limited, non-exclusive, worldwide, royalty-free licence to process it solely for the purpose of providing and improving the Services.
We do not use your User Content to train our AI models unless you have expressly opted in to such use. You are solely responsible for ensuring that your User Content does not violate any applicable laws or third-party rights.
All intellectual property rights in the Services, including the Vera platform, underlying models, software, designs, and documentation, are owned by or licensed to Cortex Research. Nothing in these Terms transfers any ownership of our intellectual property to you.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business purposes.
AI-generated outputs produced by the Services may be used by you for lawful purposes in accordance with these Terms. You are responsible for verifying the accuracy of outputs before relying on them.
Access to certain features of the Services requires a paid subscription. By subscribing, you authorise us to charge the applicable fees to your chosen payment method at the start of each billing period.
Free Trial
All paid plans include a 7-day free trial for new subscribers. Your payment method is collected at the time of sign-up but will not be charged until the trial period ends. You will receive a reminder email 3 days before your trial expires. If you cancel before the trial ends, you will not be charged. After the trial period, your subscription will automatically convert to a paid plan and billing will commence at the applicable plan rate.
The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that AI-generated outputs will be accurate, complete, or suitable for any particular purpose.
AI outputs are generated by probabilistic models and should be reviewed by a qualified professional before being relied upon for legal, financial, medical, or other regulated purposes.
To the fullest extent permitted by applicable law, Cortex Research shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services.
Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim, or £100, whichever is greater.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
Either party may terminate the agreement constituted by these Terms at any time. You may terminate by closing your account. We may terminate or suspend your access to the Services with 30 days' notice, or immediately if you materially breach these Terms or engage in conduct that we determine poses a risk to the Services or other users.
Upon termination, your right to use the Services will cease. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall do so.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
